This Seller Agreement is a legally binding contract between you ("Seller") and Electapros. By completing seller registration and activating your Seller Hub account, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement. Please read it carefully before proceeding.
Parties & Definitions
This Agreement is entered into between:
Electapros, a digital marketplace for electric products and services, operated from Lalpur, MDR-83-C, Sitapur, Uttar Pradesh 261136, India.
The individual, proprietorship, partnership, LLP, or company that registers on the Electapros Seller Hub to list and sell products or services.
Key definitions used in this Agreement:
- → "Seller Hub" — The dedicated seller-facing dashboard and interface at seller.electapros.in.
- → "Listing" — Any product or service posted by a seller on the Electapros platform.
- → "Transaction" — Any purchase made by a customer through the platform.
- → "Settlement" — Payment disbursed by Electapros to the seller post-transaction.
- → "Policy" — Any guideline, rule, or standard published by Electapros.
Onboarding & KYC
All sellers must complete a mandatory Know Your Customer (KYC) verification process before listing products. Required documents include:

Electapros reserves the right to reject onboarding applications that fail to meet KYC standards or submit fraudulent documents.
Seller Obligations
By accepting this Agreement, the Seller commits to the following obligations:
- → Sell only genuine, non-counterfeit products.
- → Ensure all listed electrical products carry valid BIS/ISI certification.
- → Maintain accurate stock levels to avoid order cancellations.
- → Confirm and dispatch orders within committed timelines.
- → Provide accurate tracking information for all shipments.
- → Handle returns and replacements professionally and promptly.
- → Respond to customer queries within 24 hours.
- → Maintain a seller rating of 3.5 or above.
- → Resolve complaints in a professional and timely manner.
- → File GST returns regularly and accurately.
- → Comply with the Consumer Protection Act, 2019.
- → Adhere to all applicable Indian laws governing e-commerce sales.
Platform Rights
Electapros reserves the following rights with respect to all sellers on the platform:
- → Remove or delist any product or listing at any time without prior notice.
- → Modify search rankings, visibility, and promotional placements at its discretion.
- → Conduct audits of seller inventory, documentation, or compliance records.
- → Withhold settlements pending investigation of policy violations or disputes.
- → Update platform policies, commission structures, and operational guidelines.
- → Use seller product images and descriptions for promotional purposes on the platform.
Commission & Payouts
The commission structure and payout terms are as follows:
- → Commission rates vary by product category and are published in the Seller Hub's fee schedule.
- → Commission is calculated on the final selling price inclusive of all charges.
- → Payouts are processed on a T+7 or T+10 cycle after successful delivery confirmation.
- → Electapros deducts applicable TDS before disbursement as per Indian tax law.
- → Sellers must provide accurate GST information for proper invoicing and tax credit.
- → Fee structures may be revised with 15 days' advance notice.
TDS at the applicable rate under Section 194-O of the Income Tax Act, 1961 will be deducted on all e-commerce transactions. Sellers must submit their PAN to ensure correct TDS credit.
Legal Compliance
Sellers must comply with all applicable Indian laws, including but not limited to:
- → Information Technology Act, 2000 and its amendments.
- → Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020.
- → Goods and Services Tax (GST) Act, 2017.
- → Bureau of Indian Standards (BIS) certification requirements for electrical products.
- → Legal Metrology Act, 2009 (for proper product labelling and packaging).
- → Indian Contract Act, 1872 (for contractual obligations).
Any non-compliance identified by Electapros or regulatory authorities is the sole responsibility of the Seller.
Performance Standards
Sellers are expected to maintain the following minimum performance metrics:

Non-Exclusivity
This Agreement is non-exclusive. Sellers are free to sell their products on other platforms and marketplaces simultaneously. Electapros does not impose any exclusivity obligations on sellers.
However, sellers must not redirect platform customers to off-platform transactions or external marketplaces using Electapros's platform resources, branding, or customer base.
Confidentiality
Both parties agree to maintain confidentiality of the following:
- → Proprietary platform information, algorithms, and business processes.
- → Customer data accessed through the Seller Hub.
- → Internal pricing strategies, fee structures, and contractual terms.
- → Any non-public information shared during onboarding or dispute resolution.
Sellers must not disclose customer data obtained through the platform to any third party. Violation of confidentiality obligations may result in immediate termination and legal action.
Indemnification
The Seller agrees to indemnify, defend, and hold harmless Electapros, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:
- → Sale of defective, unsafe, or non-compliant products.
- → Violation of any third-party intellectual property rights.
- → Seller's breach of this Agreement or any platform policy.
- → False or misleading product information provided by the seller.
- → Any tax non-compliance or regulatory violations by the seller.
Suspension & Termination
Either party may terminate this Agreement with 30 days' written notice. Electapros may suspend or immediately terminate a seller account in the following cases:
- → Fraudulent activity, misrepresentation, or identity theft.
- → Persistent violations of platform policies or performance standards.
- → Legal proceedings initiated against the seller related to platform activity.
- → Sale of prohibited, counterfeit, or unsafe products.
- → Failure to maintain minimum performance metrics over 60 days.
Upon termination, pending settlements (net of deductions) will be processed within 30 days. All seller data will be handled per the Privacy Policy.
Dispute & Governing Law
This Agreement shall be governed by the laws of India. Any disputes arising from this Agreement shall first be attempted to be resolved amicably within 30 days through direct negotiation.
If amicable resolution fails, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Sitapur, Uttar Pradesh.
